1. Acceptance of Terms

Welcome to ausbiz Consulting (“we,” “our,” or “us”). By accessing or using our website, services, courses, or any content provided by us (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree with these Terms, please do not access or use our Services.

These Terms constitute a legally binding agreement between you and ausbiz Consulting. We may update these Terms from time to time without notice to you. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

2. Access and Use

2.1 Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2.2 Account Registration

Some parts of the Services may require you to create an account. When registering for an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

2.3 Prohibited Activities

You agree not to engage in any of the following activities:

Violating any applicable laws or regulations

Infringing on the intellectual property rights of others

Circumventing or attempting to circumvent any security measures or access controls

Using automated systems or software to extract data from our website (“scraping”)

Attempting to gain unauthorized access to our systems or networks

Interfering with or disrupting the Services or servers or networks connected to the Services

Transmitting any viruses, malware, or other harmful code

Collecting or harvesting any personally identifiable information from other users

Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity

Using our Services for any illegal or unauthorized purpose

3. Intellectual Property Rights

3.1 Ownership of Content

Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by ausbiz Consulting, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial purposes. You may not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services or any content, except as expressly permitted in these Terms.

3.3 Course Materials and Content

All course materials, including but not limited to videos, presentations, handouts, code samples, and other educational content, are the exclusive property of ausbiz Consulting or its licensors. You may not:

Copy, reproduce, distribute, or disclose any course materials without our prior written consent

Remove any copyright or other proprietary notices from any course materials

Transfer course materials to another person

Use course materials for any commercial purpose

Reverse engineer, decompile, or disassemble any software provided as part of the course materials

Create derivative works based on course materials

Share your account credentials with others or allow others to access course materials through your account

3.4 Trademarks

The ausbiz Consulting name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ausbiz Consulting or its affiliates or licensors. You may not use such marks without the prior written permission of ausbiz Consulting. All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners.

3.5 User Content

You retain ownership of any content that you submit, post, or display on or through the Services (“User Content”). By providing User Content to the Services, you grant ausbiz Consulting a worldwide, perpetual, irrevocable, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify, adapt, create derivative works from, distribute, and otherwise use or exploit such User Content in any manner.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the rights and licenses to your User Content as described in these Terms, and that your User Content does not violate the intellectual property rights or other rights of any third party.

4. Guest Authors and Third-Party Content

We may feature content from guest authors, including blog posts, articles, and educational materials. The views and opinions expressed by guest authors are their own and do not necessarily reflect the official policy or position of ausbiz Consulting. We make no representations or warranties as to the accuracy, completeness, or reliability of any content provided by guest authors.

ausbiz Consulting is not responsible for and expressly disclaims all liability for damages of any kind arising from:

Your use of content provided by guest authors or other third parties

Any errors or omissions in the content of guest authors

Any losses or damages incurred as a result of your reliance on information provided by guest authors

By submitting content as a guest author, you grant ausbiz Consulting all rights described in Section 3.5 (User Content) and you represent and warrant that you have all necessary rights to the content you provide.

5. Payment and Refunds

Certain Services, such as courses or premium content, may require payment. All fees are in Australian Dollars (AUD) unless otherwise stated. You agree to pay all fees and charges associated with your account on a timely basis and according to the terms described at the time of purchase.

Our refund policy for paid Services:

For online courses, you may request a refund within 14 days of purchase if you have not completed more than 25% of the course

For live events or workshops, you may request a refund up to 7 days before the scheduled event

Refunds are issued at our sole discretion

6. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT INCLUDED THEREIN ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ausbiz Consulting, its subsidiaries, affiliates, and its licensors do not warrant that:

The Services will function uninterrupted, secure, or available at any particular time or location

Any errors or defects will be corrected

The Services are free of viruses or other harmful components

The results of using the Services will meet your requirements

The information provided through our Services is for general informational and educational purposes only and is not intended as professional advice. You acknowledge that your use of such information is at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUSBIZ CONSULTING, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Services

Any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties

Any content obtained from the Services

Unauthorized access, use, or alteration of your transmissions or content

Any errors or omissions in the technical operation of the Services

Any damage to your computer system, mobile device, or other equipment

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF AUSBIZ CONSULTING, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless ausbiz Consulting, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

9. Governing Law and Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of New South Wales, Australia, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding relating to your access to, or use of, the Services or these Terms shall be instituted exclusively in the courts of New South Wales, Australia. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

10. Termination

We reserve the right to terminate or suspend your account and access to the Services at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services, or contact us at support@ausbiz.com.au.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ausbiz Consulting regarding your use of the Services and supersede any prior agreements between you and ausbiz Consulting relating to your use of the Services.
